Terms of service

Welcome to Lumiso Group (“Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern how we provide technology consulting, software development, AI implementation, and related services (“Services”) to our clients. By engaging with Lumiso Group, whether through our website lumisogroup.com, proposals, or direct agreements, you agree to these Terms.
Scope of Services
Lumiso Group provides technology consulting, AI transformation solutions, custom software development, and digital strategy advisory.
All projects are subject to a separate written Proposal, Statement of Work (SOW), or Service Agreement that defines deliverables, timelines, fees, and responsibilities.
Unless otherwise stated, these Terms supplement and do not override specific contract terms.
Client Responsibilities
To ensure successful delivery of Services, you agree to:
Provide accurate and timely information, documentation, and approvals.
Designate a point of contact for communication.
Ensure all content, data, or materials you provide do not infringe third-party rights or violate laws.
Maintain any necessary licenses or access rights (e.g., software, APIs, hosting platforms).
Fees & Payments
Fees are outlined in the applicable proposal or invoice.
Payments are due according to the agreed billing schedule (e.g., upfront deposit, milestone billing, or monthly retainer).
Late payments may result in suspension of Services until accounts are settled.
All fees are non-refundable unless otherwise agreed in writing.
Intellectual Property
Pre-existing IP: Any intellectual property owned by Lumiso Group prior to a project remains our property.
Custom Deliverables: Upon full payment, ownership of custom software, code, designs, or deliverables created specifically for you will transfer to you, unless otherwise specified.
Shared Tools & Frameworks: Lumiso may use proprietary tools, methods, or AI workflows within projects. These remain our intellectual property, though you receive a license to use them as part of the deliverables.
Confidentiality
Both parties agree to treat all non-public information (business plans, strategies, technical data, etc.) as confidential.
Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
Warranties & Limitations
Lumiso Group warrants that we will perform Services with reasonable skill and care.
• We do not guarantee that any software, system, or AI solution will be completely error-free, uninterrupted, or immune to third-party risks.
• To the extent permitted by law, our liability is limited to the total fees paid to us in the 6 months preceding a claim.
Third-Party Services
• Some solutions may integrate with third-party platforms (e.g., APIs, cloud providers, AI models, payment gateways).
• Lumiso Group is not responsible for availability, security, or changes to these third-party services.
• You are responsible for maintaining your own third-party accounts, licenses, and compliance.
Termination
• Either party may terminate Services with written notice if the other party materially breaches these Terms and fails to cure within 14 days.
• Upon termination, all unpaid fees become immediately due.
• Any licenses granted under these Terms will cease unless otherwise agreed.
Governing Law
• These Terms shall be governed by the laws of Malaysia.
• Any disputes will be subject to the exclusive jurisdiction of the courts of Malaysia.
Updates to Terms
• We may update these Terms periodically. Updates will be posted on lumisogroup.com.
• Continued use of our Services after changes constitutes acceptance of the updated Terms.
